1. Introduction

These Terms and Conditions govern your use of Maille ('the Software'). By accessing or using the Software, you agree to be bound by these Terms and Conditions.

2. Services

provides a comprehensive platform for managing and delivering online learning programs. Our services include:

  • Learner Management: Creating and managing learner profiles, tracking learner progress and performance, issuing certifications.

  • Course Management: Creating and managing course content, scheduling courses and assigning instructors, tracking course enrollment and attendance

  • Assessment Management: Creating and administering assessments, grading assignments and providing feedback

  • Reporting and Analytics: Generating reports on learner performance, course completion rates, and other key metrics

3. User Accounts

To access the Software, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials.

4. Subscription-Based Model

You agree to pay all fees or charges to your account in accordance with the fees, charges, and billing terms in effect at the time a fee or charge is due and payable.

  • Monthly and Yearly Plans: We offer flexible subscription plans to cater to different needs. You can choose to pay monthly or annually.

  • Pricing Tiers: Our pricing is tiered based on the number of users and the features included in each plan.

  • Additional Users and Admins: For users and administrators exceeding the allocated number within your subscription, we charge an additional fee per user and per admin.

5. Payment Methods

We accept a variety of payment methods, including:

  • Other secure payment gateways

6. Billing and Invoicing

We provide detailed billing statements and invoices for all transactions. You can access your billing history and invoices through your account dashboard.

  • Automatic Renewal: Your subscription will automatically renew at the end of each billing cycle unless you cancel it before the renewal date.

  • Cancellation Policy: You can cancel your subscription at any time. However, we do not offer refunds for the remaining period of your subscription.

  • Late Payments: Late payments may result in the suspension or termination of your account. Please ensure that your payment information is up to date to avoid any disruptions in service.

7. Intellectual Property

The Software and its original content, features, and functionality are and will remain the exclusive property of Maille and its licensors. The Software is protected by copyright.

8. User Conduct

You agree to use the Software in accordance with all applicable laws and regulations. You may not:

  • Use the Software for any illegal or unauthorized purpose

  • Violate any laws in your jurisdiction (including but not limited to copyright laws)

  • Post or transmit any content that is unlawful, defamatory, libelous, threatening, harassing, hateful, racially or ethnically offensive, or encourages conduct that would be considered a criminal offense

  • Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity

  • Interfere with or disrupt the Software or servers or networks connected to the Software, or disobey any requirements, procedures, policies, or regulations of networks connected to the Software

  • Collect or store personal data about other users without their consent

9. Termination

We may terminate or suspend your account and bar access to the Software immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. You may terminate your account at any time by following the instructions provided in the Software.

10. Limitation of Liability

In no event shall Maille, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Software; (ii) any conduct or content of any third party on the Software; (iii) any content obtained from the Software; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

11. Indemnification

You agree to defend, indemnify and hold harmless Maille and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Software, by you or any person using your account and password; b) a breach of these Terms.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of France, without regard to its conflict of law provisions.

13. Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time.

14. Dispute Resolution

Any dispute arising out of or in connection with these Terms shall be referred to and finally resolved by arbitration under the rules of the International Chamber of Commerce.

15. Entire Agreement

These Terms constitute the entire agreement between you and Maille regarding the Software, superseding any prior agreements or understandings between you and Maille.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render these Terms unenforceable or invalid as a whole, and such provisions shall be deleted without affecting the remaining provisions herein.
